Terms of Service

Effective November 5, 2026

These Terms of Service ("Terms") are an agreement between AdSnipe LLC, an Arizona limited liability company ("AdSnipe", "we", "us"), and the business that signs up for our services ("Client", "you"). You accept these Terms when you check the box to agree to them while creating a login or starting your plan, and by using the Services. If you accept them for a business, you confirm you have authority to bind that business.

1. What we provide

AdSnipe provides an AI advertising agent for businesses (the "Services"). The Services include:

We may improve, change or remove features over time. If we remove something material that you pay for, we will tell you in advance.

2. Accounts and access

Our team creates access to the portal and adds people to your Slack channel at your request. You are responsible for the people you ask us to add, for keeping sign-in details private, and for telling us promptly when someone should lose access. You are responsible for what happens under your accounts.

3. Approvals, limits and Autopilot

By default, the agent does not change anything in your ad accounts until someone you named as an approver approves that specific change. You can set daily spend limits for each ad channel, and the agent will not recommend or make changes above them. You can choose to let certain kinds of changes run without approval ("Autopilot"), within the limits you set. You can turn Autopilot off and change your limits at any time.

You are responsible for every change that you or your approvers approve, and for every kind of change you set to run on Autopilot. Please review each recommendation before approving it.

4. Advertising spend and results

Your ad spend is yours. Ad platforms such as Meta and Google charge your own payment method directly for your advertising. AdSnipe never pays for, receives or marks up your ad spend, and the fees you pay us are separate from it.

You control the spend. Every budget, bid or campaign change is either approved by you or allowed by an Autopilot setting and limit you chose. You agree that AdSnipe is not responsible for the amount you spend on advertising, for spend that results from changes you approved or allowed, or for spend caused by the ad platforms themselves, such as overdelivery, billing errors, platform outages or changes the platforms make on their own.

No guaranteed results. Advertising results depend on many things outside our control, including the ad platforms, your market, your offer, your prices and how your business follows up with leads. We do not promise any number of leads, calls, appointments, sales, return on ad spend or revenue. Estimates the agent gives, such as expected savings, are estimates, not promises.

Your ads and the platforms' rules. You are responsible for your ads, their claims and offers, your landing pages, the targeting you approve, and following each ad platform's policies, including the rules for special ad categories such as housing, employment, credit and financial products, and for regulated industries such as health care. If an ad platform rejects an ad, limits or suspends your account, we will help where we can, but we are not responsible for the platform's decision.

5. Your responsibilities

You agree to:

6. AI output

The agent uses artificial intelligence. It can make mistakes, misread data, or produce recommendations, ads or reports that are inaccurate or incomplete. Its output is not legal, financial, tax, medical or other professional advice. You decide what to approve and how to run your business. See our AI Disclosure for more.

7. Third-party services

The Services connect to tools run by other companies, including Meta, Google, Slack, Stripe and the providers listed on our Subprocessors page. Those tools are governed by their own terms and privacy policies, and we are not responsible for their availability, their decisions or their actions. If a provider changes or stops offering something we rely on, we may change the Services to match.

8. Fees, credits and payment

Plan fees. Any monthly plan fee or setup fee is the amount agreed with our team or shown when you sign up. Monthly fees are billed in advance through Stripe to the card you provide and renew automatically each month until cancelled.

Credits. Work done by the agent uses credits. One credit equals one US cent ($0.01). How many credits a task uses varies with the work involved, and the portal shows every credit used. Your plan may include credits each month; included credits reset each billing month and do not roll over. You can buy more credits at any time. Larger purchases may include bonus credits, which have no cash value.

Automatic top-ups. If you turn them on, we charge your card the top-up amount you choose whenever your balance falls below the level you set, and never more in a calendar month than the monthly limit you set. The amount, the level and the limit are shown in the portal before you turn top-ups on, and you can change or turn them off at any time in the portal or by telling us in Slack. We email a receipt for every charge.

Refunds. Fees and purchased credits are non-refundable except as described in our Refund and Cancellation Policy, where the law requires otherwise, or where we agree in writing. Credits have no cash value and cannot be transferred.

Failed payments. If a payment fails, we will let you know and Stripe will retry. If payment is not made, we may pause the Services until it is resolved.

Taxes. Fees do not include taxes. You are responsible for any sales, use or similar taxes that apply.

Price changes. We may change plan prices or credit pricing with at least 30 days' notice. Changes apply from your next billing month.

9. Term, cancellation and termination

These Terms last while you use the Services. You can cancel at any time in the portal or by telling us; a paid month stays active until it ends and does not renew, and automatic top-ups stop right away. We may suspend or end the Services if you breach these Terms, fail to pay, or use the Services in a way that risks harm to others, to us or to the providers we rely on. Where reasonable, we will give notice and a chance to fix the problem first. When the Services end, we disconnect your ad accounts and delete or return your data as described in our Privacy Policy and Data Processing Addendum.

10. Your data and our platform

You own your data, including your ad account data, your business information, the lead and sales information you give us, and the content created for you ("Client Data"). You give us permission to use Client Data only to provide, secure, support and improve the Services for you, as described in our Privacy Policy and Data Processing Addendum. We do not sell Client Data, and we do not use it to train AI models.

We own the Services, including the software, portal, agent instructions, playbooks, designs and know-how behind them. These Terms do not transfer any of our intellectual property to you, except that ads, copy and scripts the agent creates for you are yours to use for your business. Because AI may produce similar output for others, we do not promise that created content is unique to you.

If you send us ideas or feedback, we may use them without obligation to you.

11. Confidentiality

Each of us will keep the other's non-public business information confidential, use it only for this relationship, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (with notice where allowed).

12. Warranties and disclaimers

We will provide the Services with reasonable skill and care. Apart from that, the Services are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any advertising result, or that the Services will be uninterrupted or error-free, or that every problem in your ad accounts will be detected.

13. Limitation of liability

To the fullest extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; (b) AdSnipe is not liable for advertising spend, as described in section 4; and (c) each party's total liability arising out of these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, your indemnity below, or either party's fraud or willful misconduct.

14. Indemnity

You will defend and indemnify AdSnipe against third-party claims, fines and costs arising from your ads, offers and landing pages, your Client Data, the changes you or your approvers approve or set to run on Autopilot, your breach of an ad platform's policies, or your breach of these Terms or the law.

15. Changes to these Terms

We may update these Terms. If a change is material, we will tell you at least 30 days before it takes effect, by email or in Slack. Continuing to use the Services after that date means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to conflict of laws rules. The state and federal courts located in Maricopa County, Arizona have exclusive jurisdiction over any dispute arising from these Terms, and both parties consent to that jurisdiction. Before going to court, each party agrees to try in good faith to resolve the dispute by talking for at least 30 days. Claims must be brought individually, not as part of a class or representative action.

17. General

These Terms, together with our Privacy Policy, SMS Terms, Refund and Cancellation Policy, Acceptable Use Policy, AI Disclosure and Data Processing Addendum, are the entire agreement between us about the Services, unless we sign a separate written agreement, which controls if it conflicts. The Services are offered to businesses in the United States and Canada. If any part is unenforceable, the rest stays in effect. Neither party may assign these Terms without the other's consent, except as part of a merger or sale of its business. Failing to enforce a right is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
